PLEASE READ THIS END USER LICENSE AGREEMENT (“AGREEMENT”) CAREFULLY BEFORE ACCESSING OR USING THE VERIRIG SOFTWARE APPLICATION AND RELATED SERVICES. BY CLICKING “I AGREE,” CREATING AN ACCOUNT, OR USING THE SERVICE IN ANY WAY, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT USE VERIRIG.

1. PARTIES AND DEFINITIONS

This Agreement is entered into between VeriRig (“Company,” “we,” “us,” or “our”) and the individual or entity accessing or using the VeriRig platform (“User,” “you,” or “Licensee”). For purposes of this Agreement:

• “Software” means the VeriRig web application, progressive web app (PWA), inspection platform, report generation tools, and all associated features, updates, and documentation.
• “Service” means access to the Software on a subscription basis as provided by VeriRig.
• “Inspection Report” means any report, checklist, or document generated through the Software.
• “Subscription” means a paid license to access the Software, billed monthly or annually as selected at purchase.
• “User Content” means any data, photos, notes, or information you submit to the Software.

2. LICENSE GRANT

2.1 Scope of License

Subject to your compliance with this Agreement and timely payment of applicable Subscription fees, VeriRig grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for your own professional inspection activities.

2.2 Authorized Use

The Software is intended for use by licensed and certified RV inspection professionals, including but not limited to NRVIA-certified inspectors. Use of the Software implies representation that you are a qualified professional.

2.3 Restrictions

You may NOT:

• Copy, modify, distribute, sell, resell, or sublicense the Software or any portion thereof;
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software;
• Use the Software to build a competing product or service;
• Access the Software through automated means (bots, scrapers) without express written consent;
• Remove, alter, or obscure any proprietary notices, labels, or marks;
• Share login credentials or account access with any third party;
• Use the Software for any unlawful purpose or in violation of any applicable regulations.

3. SUBSCRIPTION AND PAYMENT

3.1 Subscription Plans

Access to VeriRig requires an active paid Subscription. Subscription plans and current pricing are published at veririg.com/pricing. VeriRig reserves the right to modify pricing with thirty (30) days written notice to active subscribers.

3.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated herein or required by applicable law.

3.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled at least five (5) business days prior to the renewal date.

3.4 Cancellation

You may cancel your Subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused subscription periods.

3.5 Free Trials

If VeriRig offers a free trial period, your access is subject to this Agreement. Following the trial, your Subscription will automatically convert to a paid plan unless cancelled before the trial ends.

4. INTELLECTUAL PROPERTY

4.1 Ownership

VeriRig and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights therein. This Agreement does not transfer any ownership rights to you. The VeriRig name, logo, and all related marks are trademarks of VeriRig.

4.2 Standards Integration

The Software incorporates references to NRVIA Standards of Practice, NFPA standards, RVIA guidelines, and DOT regulations. Such standards are the property of their respective organizations. VeriRig’s integration and presentation of these standards within the Software constitutes original expression protected by copyright.

4.3 Feedback

If you provide VeriRig with suggestions, ideas, or feedback about the Software, you grant VeriRig a perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation to you.

5. USER CONTENT AND DATA

5.1 Your Content

You retain ownership of all User Content you submit to the Software. By submitting content, you grant VeriRig a limited license to store, process, and transmit that content solely for the purpose of providing the Service to you.

5.2 Data Use – What We Do NOT Do

VeriRig does not:

• Sell your inspection data, client information, or User Content to third parties;
• Use your inspection data to train machine learning models without express written consent;
• Share individual client data with any party other than you or as required by law.

5.3 Aggregated Data

VeriRig may use anonymized, aggregated, non-personally identifiable data derived from usage patterns to improve the Software, publish industry statistics, or develop product enhancements.

5.4 Data Security

VeriRig implements commercially reasonable security measures to protect User Content. However, no system is 100% secure. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

5.5 Data Portability and Deletion

Upon request, VeriRig will provide you with an export of your data within thirty (30) days. Upon account termination, VeriRig will delete your User Content within ninety (90) days, except as required by applicable law or legitimate business purposes.

6. CONFIDENTIALITY

The Software, including its features, algorithms, template logic, conditional checklist architecture, and any non-public technical documentation, constitutes confidential information of VeriRig. You agree not to disclose or use any such information for purposes outside the authorized use of the Service.

7. PROFESSIONAL RESPONSIBILITY DISCLAIMER

VeriRig is a tool to assist qualified inspection professionals. The Software does not constitute professional advice and does not replace the independent professional judgment of a certified inspector. YOU ACKNOWLEDGE AND AGREE THAT:

• All inspection findings, pass/fail determinations, and report conclusions are your professional responsibility;
• VeriRig does not guarantee the accuracy, completeness, or suitability of any inspection template, standard reference, or measurement threshold for any particular vehicle or situation;
• Compliance with referenced standards (NFPA, NRVIA, RVIA, DOT) is your professional obligation – VeriRig provides reference tools only;
• You are solely responsible for the content, accuracy, and delivery of any Inspection Report issued to a client.

8. WARRANTIES AND DISCLAIMERS

8.1 Limited Warranty

VeriRig warrants that the Software will perform materially in accordance with its published documentation during your active Subscription period.

8.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY SET FORTH IN SECTION 8.1, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. VERIRIG DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR SPECIFIC REQUIREMENTS OR THAT ALL ERRORS WILL BE CORRECTED.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERIRIG’S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL VERIRIG BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM, EVEN IF VERIRIG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless VeriRig and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to:

• Your use of the Software in violation of this Agreement;
• Any Inspection Report you issue to a client;
• Your violation of any applicable law or third-party rights;
• Any claim by a client or third party related to an inspection you performed using the Software.

11. TERM AND TERMINATION

11.1 Term

This Agreement begins on the date you first access the Software and continues for the duration of your active Subscription, unless earlier terminated.

11.2 Termination by VeriRig

VeriRig may suspend or terminate your access immediately, without prior notice, if you:

• Breach any material term of this Agreement;
• Fail to pay applicable Subscription fees;
• Use the Software in a manner that poses a risk to other users or the platform.

11.3 Effect of Termination

Upon termination, your license to use the Software immediately ceases. You must cease all use and destroy any downloaded materials. Sections 4, 5, 6, 7, 8, 9, 10, and 13 survive termination.

12. UPDATES AND MODIFICATIONS

VeriRig reserves the right to update, modify, or discontinue any feature of the Software at any time. VeriRig will provide reasonable notice of material changes. Continued use of the Software after such notice constitutes acceptance of the updated terms. VeriRig may update this Agreement from time to time. The updated Agreement will be posted at veririg.com and the effective date will be revised. Your continued use after the effective date constitutes acceptance.

13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any dispute arising out of or relating to this Agreement shall first be submitted to good-faith negotiation. If unresolved within thirty (30) days, disputes shall be resolved by binding arbitration administered under the rules of the American Arbitration Association (AAA), with proceedings conducted in Lehi, Utah.

13.3 Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST VERIRIG. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY.

14. GENERAL PROVISIONS

14.1 Entire Agreement — This Agreement, together with VeriRig’s Privacy Policy and any applicable Order Form or Subscription confirmation, constitutes the entire agreement between the parties.

14.2 Severability — If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver — VeriRig’s failure to enforce any right or provision shall not constitute a waiver of that right.

14.4 Assignment — You may not assign or transfer this Agreement without VeriRig’s prior written consent. VeriRig may freely assign this Agreement.

14.5 Force Majeure — VeriRig shall not be liable for failure or delay resulting from causes beyond its reasonable control.

BY USING VERIRIG, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT.
